The agreement between your studio and proma while it's in pilot — what you can expect of the service, and what we ask of you in return. Written to be read, not just accepted.

Agreement

These Terms of Service (“Terms”) are an agreement between you and proma — operated by [COMPANY LEGAL NAME], company no. The service

proma helps made-to-order fashion studios track orders, garments, production phases, team assignments, clients, files, and related workshop data.

proma is currently offered as a private beta / pilot. Features may change, break, or be withdrawn without notice. We do not guarantee uninterrupted availability.

Eligibility and access

You must be at least 16 and able to form a binding contract. Access is by invitation, waitlist approval, or other authorisation we grant.

You are responsible for keeping your email account secure. Sign-in uses magic links and one-time passcodes sent to your email.

Workspaces and teams

Data you enter into a workspace is shared with other members of that studio according to their role (owner, admin, or member). Owners and admins can invite or remove members, subject to the permissions in the product.

If you are removed from a workspace, you may lose access immediately. Your studio retains production data you contributed.

Your data and responsibilities

Your studio controls business data entered into proma (clients, orders, measurements, files, and so on). You must have a lawful basis to process that data (for example client consent or contract) and must not upload unlawful, infringing, or harmful content.

You grant us a limited licence to host, process, back up, and display that data solely to provide and improve proma.

You must not enter special-category data (such as health data) unless you have a lawful basis and appropriate safeguards; measurements for fittings may be sensitive — treat them accordingly.

Acceptable use

You must not:

  • Attempt to access another workspace’s data or bypass security
  • Probe, scan, or overload the service
  • Reverse engineer the service except where law permits
  • Use proma to send spam or malware
  • Misrepresent your identity or studio

Ask proma (AI)

AI responses are generated automatically and may be wrong or incomplete. They are not professional, legal, or production advice. Verify important decisions in the app.

Manager-only actions performed via AI use the same permissions as the UI. You are responsible for enabling Agency mode and reviewing what the assistant does.

Intellectual property

We own proma’s software, design, and branding. You retain ownership of your business data. Feedback you provide may be used to improve the service without obligation to you.

Fees and billing

proma is offered on paid subscription plans priced per active member seat, billed monthly or annually. Current pricing is shown at checkout and in Settings → Billing. Some workspaces may receive discounted or fully comped pricing for a defined period, shown at checkout.

  • Subscriptions renew automatically at the end of each billing period until cancelled. You authorise us, through our payment processor (Stripe), to charge your payment method for each period.
  • Your charge scales with active members — adding or removing a member adjusts the amount, prorated.
  • A free trial (currently 14 days) may apply; you are not charged until it ends unless you cancel first.
  • You may cancel at any time in Settings → Billing (the Stripe customer portal). Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Fees are stated [exclusive/inclusive — TO CONFIRM] of VAT; applicable tax is added at checkout.
  • Except where required by law, fees are non-refundable and we do not refund partial periods. [Refund policy — TO CONFIRM with counsel.]
  • We may change pricing with reasonable notice before it applies to your next renewal. If a payment fails we may retry it and suspend access until it is resolved.
  • Payments are processed by Stripe; we do not store full card details.

Disclaimer

proma is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Production scheduling and business decisions remain your responsibility.

Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

Our total liability for any claim arising from these Terms or the service is limited to the greater of (a) amounts you paid us for proma in the twelve months before the claim, or (b) £100, except where liability cannot be limited by law.

Indemnity

You will indemnify us against claims arising from your breach of these Terms, your business data, or your unlawful use of proma, except where caused by our intentional misconduct.

Suspension and termination

We may suspend or end access if you breach these Terms, if we discontinue the beta, or for operational or legal reasons. You may stop using proma at any time.

Governing law

These Terms are governed by the laws of England and Wales. Courts in England and Wales have exclusive jurisdiction, except where mandatory consumer protections in your country require otherwise.
